Please read these terms carefully before using the Service. Mandatory statutory protections cannot be waived by this Offer.

Scope and definitions

This Public Offer (the “Offer” or “Agreement”) governs access to Fintaro, a software-as-a-service (SaaS) product supplied online by TOPADMIN LLC (ТОВ «ТОПАДМІН»), the Operator. Creating a company workspace and accepting these terms establishes a contractual relationship to use the Service.

The Operator supplies access to Fintaro; the Customer is the business, sole trader or other party registering a workspace; Users are persons granted access by the Customer. A Workspace is an isolated environment for the Customer's financial and operational records.

The Agreement concerns software access, not banking, payment processing, audit, legal, tax or statutory accounting services. Fintaro does not itself hold client money as a bank or licensed payment institution.

02 / 20

Agreement and acceptance

Before registration, Customers may review the Offer and Privacy Policy. A legally effective acceptance is made through the registration or other explicit acceptance process provided by the Service, and records of it may be retained.

The person registering a business confirms authority to represent it and accept contractual terms. The Agreement is formed electronically; its effective date is associated with the recorded acceptance or another legally applicable moment.

Anyone disagreeing with these terms must not register or continue using the Service. Rights and obligations that arose under earlier terms remain subject to the applicable version and mandatory law.

03 / 20

Beta status, technical review and AI tools

Fintaro is in beta operation and undergoing technical review. Features, integrations and interfaces may change, and defects, inaccuracies, interrupted access or unexpected behavior are possible.

AI-assisted tools have been used during software development, code analysis and supporting material preparation. Such tools are not themselves a guarantee of code quality, security, compliance or correct business results. Independent testing and technical review continue.

The Customer should not treat an unverified result from the Service as the sole authoritative source for critical financial, tax, legal or accounting decisions. Important values and documents require independent verification.

04 / 20

Scope of access, license and functionality

The Operator grants a limited, non-exclusive right to use the currently available Fintaro features within the chosen plan, free promotion or trial. Access may be revoked in the circumstances permitted by the Agreement and applicable law.

Functions described as planned, on the roadmap, in marketing materials or in illustrative mockups are not guaranteed services until actually released and included in the relevant plan. The Operator may update the product, respecting mandatory rights.

The Customer must not resell the system as its own product without permission, bypass technical limits, unlawfully decompile it, carry out unauthorized security testing or otherwise compromise the Service or other users.

05 / 20

Accounts, roles and Customer duties

Customers must supply accurate information, maintain current contact details, assign least-privilege roles, supervise employees and withdraw access when no longer needed.

Customers are responsible for securing their own devices, email accounts, passwords, authentication codes, API credentials, merchant tokens and other secrets; sharing them with unauthorized persons is prohibited.

Account actions may be treated as actions of an authorized user until the Operator receives proper notification of compromise, except where applicable law requires a different allocation of responsibility.

06 / 20

Ownership, legality and accuracy of financial data

Customers retain their rights to uploaded financial, commercial and other materials. They decide what is entered and remain responsible for the legal basis, accuracy and appropriateness of the information, including personal information concerning third parties.

Amounts, exchange rates, profit-and-loss results, charts, balances, receivables, forecasts, reminders and statuses are produced from input data, settings and external information sources. Errors, stale rates or delayed third-party events may affect results.

Customers must independently verify critical amounts, exchange rates, taxes, deadlines, payment receipts and documents before relying on them for tax reporting, financial decisions or third-party obligations.

07 / 20

Payment providers, merchant accounts and external systems

Customer payments and payments from their counterparties may be processed by independent payment service providers. Acquiring agreements, fees, checks, limits, chargebacks and transfers are governed by the relevant provider's terms, not solely by Fintaro.

Integrations may receive incomplete, late or incorrect information because of network issues, merchant configuration, provider failures or third-party restrictions. Customers must reconcile important receipts with their actual payment accounts.

The Operator is not responsible for independent acts of third parties to the extent permitted by law, but this does not eliminate responsibility for the Operator's own breaches of applicable security or service obligations.

08 / 20

Information security and cyber incidents

Internet services cannot guarantee absolute protection from all attacks. Risks include phishing, account theft, infected Customer devices, compromised credentials, software vulnerabilities, third-party breaches and infrastructure incidents.

The Operator implements organizational and technical security measures within its responsibilities and capabilities, but does not promise zero risk of unauthorized access, data loss, encryption attacks or system outages.

To the extent allowed by law, the Operator is not liable for incidents caused exclusively by the Customer or independent third parties for whom it is not legally responsible. This exclusion does not override duties to apply required security measures or liability for proven Operator misconduct.

If an incident occurs, the parties should cooperate on containment. The Operator carries out notices and other mandatory actions required by law, while the Customer secures its own credentials and affected devices.

09 / 20

Personal information and privacy

The Privacy Policy governs personal-data processing. Depending on the data and purpose, the Operator may act as controller or processor for a business Customer.

A Customer adding personal information about counterparties, employees or others must establish a lawful processing basis, provide required notices and respect those individuals' rights.

The Offer's limitations on warranties or liability do not negate mandatory personal-data protection rules, data subject rights or the Operator's legal duties.

10 / 20

Backups, export and preservation of information

Customers should maintain independent current copies of legally important documents, bank confirmations, registers, reports and other critical information, particularly where they are needed for regulatory or business obligations.

Any Operator-side backups, where provided, support technical restoration and are not an unconditional guarantee of complete, error-free recovery or indefinite preservation of each Customer record. Backup availability, retention and deletion depend on the actual infrastructure.

After access has been suspended or ended, data retrieval may depend on technical availability, account status and lawful retention grounds. The Operator fulfils mandatory obligations concerning access, deletion or return of information.

11 / 20

Availability, support and maintenance

Access depends on the Service's actual technical readiness. The Operator may carry out updates, migrations, emergency repairs and security operations that temporarily restrict use. Availability levels and response times are not guaranteed unless expressly agreed as part of a particular paid service.

Support is provided through channels available in Fintaro. Customer suggestions may inform product development but do not oblige the Operator to implement a proposed feature by a certain date.

12 / 20

Plans, promotions, trials and payments

Current plans, limits and payment terms are shown on the website or in the application before purchase. Billing, renewal, fees and refunds are governed by the agreed order terms and mandatory law. Automatic charges require appropriate separate authorization.

Free or trial access may have conditions defined by the relevant offer. Companies officially granted the “First 50 companies — free forever” promotion retain a zero subscription fee for included features for the life of the relevant product, subject to fair use. The promotion does not guarantee that the Service will exist indefinitely, cover third-party transaction fees or offer unlimited infrastructure resources.

If the product is discontinued, its model materially changes or legal obligations require action, the Operator informs users within a reasonable period where feasible and preserves rights guaranteed by law.

13 / 20

No additional warranties

To the maximum extent permitted by applicable law, Fintaro is supplied “AS IS” and “AS AVAILABLE”, without additional warranties that it will be error-free, uninterrupted, suitable for a particular business purpose, completely secure, permanently preserve all data or remain compatible with every third-party system.

The Operator does not guarantee the accuracy of automatically generated accounting, financial, currency, tax or analytical results without independent Customer verification. Information on the website or from support does not create an additional warranty unless properly agreed by authorized parties.

This section does not remove non-waivable Customer rights or liability that cannot legally be excluded.

14 / 20

Limitations of liability

To the fullest lawful extent, the Operator is not liable for indirect, incidental, special or consequential loss, lost profit or expected revenue, reputational harm, business interruption, penalties imposed by counterparties or decisions based solely on unverified Service output.

For purely contractual claims of business Customers, the Operator's aggregate liability arising from one breach or a related series of breaches is limited to the subscription fees actually paid for Fintaro in the twelve months preceding the event, but only to the extent such liability may lawfully be limited. On a free or promotional plan, this contractual limit does not automatically remove liability imposed by mandatory law.

Nothing in this Offer limits liability for intentional breach, removes mandatory consumer or personal-data rights or excludes other liability that the law prohibits limiting. Any impermissible restriction is ineffective to the prohibited extent, leaving the rest of the Agreement valid.

The absence of complete immunity does not mean that every outage or attack automatically constitutes an Operator breach. Liability depends on the facts, causation, the parties' duties and applicable law.

15 / 20

Third-party claims and Customer wrongdoing

Customers remain responsible for the lawfulness of their own activity, invoices, materials, messages, financial transactions and user permissions. Where justified third-party claims arise from unlawful Customer conduct, the parties cooperate to resolve them; compensation for proven loss follows the law and established facts.

This clause does not require Customers to compensate the Operator for losses caused by the Operator's own unlawful acts, nor does it restrict third-party rights.

16 / 20

Temporary restrictions, termination and deletion

The Operator may temporarily restrict access for a reasonably justified security threat, unlawful use, resource abuse or material breach of this Agreement. Where possible, the Customer is notified and given a reasonable opportunity to remedy the breach, except in urgent cases.

Customers may stop using the Service and request workspace deletion through support. Returning or deleting data depends on technical feasibility, applicable law, retention obligations and agreed service terms. Deletion from all backups should not be assumed to occur instantly.

17 / 20

Changes to terms and notices

The Operator may unilaterally, at its discretion and at any time, amend, supplement, replace or approve a new version of this Offer, including in response to changes in functionality, pricing, security requirements, law or the Fintaro business model. Separate prior approval of each editorial change is not required unless the law expressly requires it.

The updated Offer is published on the official website with its effective date. Technical, editorial or Customer-beneficial changes may take effect on publication. For material adverse changes to an existing paid subscription, the Operator provides reasonable advance notice through the Service or an available contact channel unless law prescribes another process. Changes do not operate retroactively or remove accrued rights and obligations.

Continued use after the effective date signifies acceptance only where legally permissible. Separate consent will be sought for changes that require it. A Customer who does not agree may discontinue use; any prepaid amounts are dealt with under the Refund Policy and applicable law.

18 / 20

Force majeure and infrastructure dependencies

A party is excused from liability for non-performance only where statutory grounds are met, including duly proven force majeure and a causal link to the inability to perform. Martial law, an attack or third-party supplier problems do not automatically release a party from all obligations.

Network outages, power failures, data-center incidents, public-authority actions and cyberattacks are assessed according to their actual impact and applicable law.

19 / 20

Governing law, communications and disputes

Ukrainian law governs the Agreement, subject to mandatory conflict-of-law rules. Where practicable, parties should first seek to resolve disagreements through support or official contact channels.

Disputes are considered by a competent court under statutory jurisdiction rules. No clause of the Offer overrides mandatory consumer rights or other protections that cannot legally be waived.

20 / 20

Operator information and contacts

Product trade name: Fintaro. Project Operator: TOPADMIN LLC (ТОВ «ТОПАДМІН»). Service enquiries may be sent through the support channels provided in the application.
